These Terms of Service (“Terms”) govern your access to and use of the website at m1valuations.com (the “Site”), operated by M1 Valuations (“M1 Valuations,” “we,” “us,” or “our”), a brand of Summa Consulting LLC. In these Terms, “M1 Valuations,” “we,” “us,” and “our” refer to that legal entity and the M1 Valuations brand.

1. Acceptance of These Terms

By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Site.

We may modify these Terms at any time in our sole discretion. We may attempt to notify you of major changes, but you should review the most current version periodically. Your continued use of the Site after changes take effect means you accept the revised Terms. Nothing in these Terms confers any third-party rights or benefits.

2. Use of the Site

We grant you permission to access and use the Site for your own informational and business purposes, provided that you:

  • Do not copy, reproduce, distribute, or republish any part of the Site without our prior written authorization.
  • Do not alter, modify, or interfere with the Site or its underlying technology.
  • Do not use the Site for any unauthorized commercial purpose.
  • Do not use any automated system (such as robots, spiders, or scrapers) that sends more requests to our servers than a person could reasonably produce using a standard web browser. We grant public search engines permission to use spiders to create publicly available search indices, but not to cache or archive Site materials. We may revoke this permission at any time.
  • Do not collect or harvest personal information from the Site, or use any communication features for commercial solicitation.
  • Comply with all applicable local, state, national, and international laws and regulations.

We reserve the right to discontinue any aspect of the Site at any time.

3. Intellectual Property

The content on the Site — including text, graphics, photos, videos, software, scripts, and interactive features (“Content”), and the trademarks, service marks, and logos contained on it (“Marks”) — is owned by or licensed to M1 Valuations and is protected by copyright, trademark, and other intellectual property laws. The Content is provided AS IS for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, displayed, sold, licensed, or otherwise exploited without our prior written consent. We reserve all rights not expressly granted.

You agree not to circumvent, disable, or interfere with security-related features of the Site or any features that restrict use or copying of Content.

4. Submissions and Communications

Any information you submit through the Site — including contact forms, inquiries, feedback, or other communications (“Submissions”) — is treated under our Privacy Policy. We do not guarantee confidentiality for unsolicited Submissions sent through the Site, and you are responsible for the content of what you send. You represent that you have the right to provide any Submission and that it does not infringe the rights of any third party.

Any feedback, suggestions, or ideas you voluntarily provide about our Site or services may be used by us without restriction or obligation to you.

5. No Professional Advice

The information on the Site is provided for general informational purposes only and does not constitute a business valuation, an appraisal, or professional financial, legal, tax, or investment advice, and should not be relied upon as a substitute for advice from a qualified professional.

No client or professional relationship is created by your use of the Site or by any communication you submit through the Site’s contact forms or email. Any engagement for our services is established separately under a written agreement.

M1 Valuations is not a registered investment adviser, broker-dealer, or tax preparer.

6. Copyright Complaints

If you believe content on the Site infringes your copyright, you may notify us under the Digital Millennium Copyright Act (DMCA) with the information required by 17 U.S.C. § 512(c)(3): your signature; identification of the copyrighted work; identification of the allegedly infringing material; your contact information; a good-faith statement that the use is unauthorized; and a statement, under penalty of perjury, that your notice is accurate and you are authorized to act for the owner.

7. Warranty Disclaimer

YOUR USE OF THE SITE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, M1 VALUATIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE OF IT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY LINKED SITES AND ASSUME NO LIABILITY FOR (I) ERRORS OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SITE, (III) UNAUTHORIZED ACCESS TO OUR SERVERS OR ANY INFORMATION STORED ON THEM, (IV) INTERRUPTION OF TRANSMISSION TO OR FROM THE SITE, (V) BUGS, VIRUSES, OR THE LIKE TRANSMITTED THROUGH THE SITE BY ANY THIRD PARTY, OR (VI) ANY LOSS OR DAMAGE INCURRED FROM USE OF ANY CONTENT MADE AVAILABLE VIA THE SITE.

8. Limitation of Liability

IN NO EVENT SHALL M1 VALUATIONS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW.

The Site is controlled and offered from the United States. We make no representation that the Site is appropriate or available for use in other locations.

9. Indemnity

You agree to defend, indemnify, and hold harmless M1 Valuations and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (i) your use of the Site, (ii) your violation of these Terms, or (iii) your violation of any third-party right. This obligation survives these Terms and your use of the Site.

10. Eligibility

You affirm that you are at least 18 years of age, or an emancipated minor, or have valid parental or guardian consent, and that you are able to enter into these Terms.

11. Assignment

You may not transfer or assign these Terms or any rights under them. We may assign them without restriction.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising from or relating to the Site will be brought exclusively in the state or federal courts located in the State of Texas, and you consent to their jurisdiction.

Any cause of action arising out of or related to the Site must be commenced within one (1) year after it accrues, or it is permanently barred.

13. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices we publish on the Site, constitute the entire agreement between you and us concerning the Site. If any provision is found invalid, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver of it.
