You built the business. You know it cold. So it feels strange that the most expensive moment of your life can turn on a few avoidable mistakes. Most of them are quiet. You do not feel them until the buyer’s team finds them for you.

Here are the five that show up most often, and what they cost.

1. Walking in without your own number

When you do not know what the business is worth, the buyer sets the price. Their first offer becomes the anchor, and every number after that bends toward it. One business owner we know got an offer he thought was generous. An independent valuation showed it was light by about a third. He had nothing to push back with until he had his own figure on the page.

2. Letting the business depend on you

If the company stops working when you leave the room, a buyer pays less. They are buying a machine, not a person. The more the business runs on you, the bigger the discount. One company lost a meaningful slice of its price because the owner personally handled the top three accounts.

3. Messy financials

Personal expenses run through the company. Revenue recognized in odd ways. Numbers that do not tie out. Each of these gives a buyer a reason to chip the price during diligence. Clean financials do not raise your value; messy ones lower it.

4. Customer concentration you ignored

If one customer is 40% of revenue, the buyer sees risk. What happens if that customer leaves the year after the sale? You may believe the relationship is rock solid. The buyer prices the chance that it is not.

5. Starting too late

Most of the levers that move value take 12 to 24 months to pull. If you wait until the offer is on the table, you have run out of time to fix anything. The owners who get paid the most started preparing years before they sold.

None of these are dramatic. That is exactly why they cost so much. They sit in plain sight until someone with money on the line points at them.
